Depending on how complicated the image is you can make the fill all black with no outlines and then reduce the transparency to about 15 - 20% Should do the trick

We have an image which we wish reduce the colour in to turn it into a
watermark which we can then place some text over the top of. The question is
how do you do this in AI?
